Client: Multinational Investment Bank

Client Needs
The client required support in the valuation of two main parts of a publicly traded holding company that were targets for an acquisition. The client requested validation of internal financial modelling and a market analysis as well as participation in meetings with third parties related to the transaction. The required market analysis comprised of a competing technology review and market valuation with potential for territory expansion. Finally, a review of the potential business model was required which included potential to transition business models, identification of unique value propositions, and the best model to address anticipated sales cycles.

Our Approach
For both targets, analysis of existing and targeted markets was completed including size, growth rate, profitability, competitive intensity, contract types, and perceived reception of the existing business model. Information which informed the developed financial models was sourced through internal and client specific databases, along with voice-of-industry interviews with market experts, advisors, and potential customers. Availability of addressable customer targets was assessed by creating an inventory of upcoming projects which could become a business opportunity. A review of studies performed on the target’s market positioning was also carried out. Finally, The success of the target’s top competitors in executing similar strategies was evaluated along with the target’s competitive positioning.

Results
The resultant study gave the client confidence in the valuation of the holding company, allowing them to make an informed bid in a short window of exclusivity. BlueTech’s analysis served as the ultimate stamp-of approval within the client’s internal investment committee, and to external parties throughout the underwriting process.

Client: Multinational Engineering & Construction Company

Client Needs
The client required support in the valuation of a private holding company with multiple underlying business units. The client requested validation of the target company’s revenue projections based on a proposed set of organic growth initiatives. In addition, the client requested BlueTech serve as the lead technical advisor in evaluating the key technologies spanning the target company’s vast portfolio, including an analysis of patents and trademarks.

Our Approach
For each underlying business unit, historic revenue trends were analyzed as a function of customer volume, customer value, pipeline volume, and manufacturers representative / regional sales manager performance. Each planned organic growth initiative by the target company – along with recommended initiatives bred from our analysis of the company’s structure –was assigned a weighted impact to each corresponding input. Base, optimistic, and pessimistic scenarios were built assuming different weights, and variability in each scenario’s model was introduced using the historic variability of each input parameter.

Results
The resultant study gave the client the ability to fairly value the target company based on a robust third-party analysis. The underlying assumptions which fed the analysis laid out the strategy post acquisition and provided new management with the KPI targets for sales staff to meet revenue goals.

  • Strategic acquisition pipeline development to penetrate the US market

    Client: Multinational Conglomerate, Japan

    The first step in laying a foundation of understanding and developing a long list of >100 potential M&A targets and a characterisation of the US market. A strategic workshop, was held to deliver in-depth insights, and the client discovered integration issues faced by competition which were previously unknown.

  • Biotechnology market & competitive analysis: acquisition vs. organic growth

    Client: Biotechnology Company, Europe

    A detailed outline of state of the art biotechnology opportunities and potential targets were presented to the Company. On the basis of our analysis, a strategic decision was made to focus on organic R&D to develop new products to expand the Company’s business in water

  • Review of the UV disinfection market & evaluation of a UV-LED offering

    Client: Oil & Gas Company, Middle East

    A market analysis summarized market sizes by geography and application, and a competitive landscape provided a techno-economic comparison of different disinfection technologies. The study established the current and forecasted status of UV-LED technology, and gave the Company the confidence to invest.
